what does that mean? Nine fortyone? So when you're in business,
you file at nine forty one?What every quarter? Is it? Yeah?
You file those every quarter for thatIt tells you how many employees and

how much you pay, and thenthey tell you how much you owe.
Right, so you're supposed to takemoney out of your employees paycheck and you
tell them that, right, Plusdon't you have to match it or what
do there's a portion of that youhave a corporate portion, you have a
matching portion as an employer, andthat's called the part you put into that
fund then or you collect as atrust exactly correct, And that's held in
trust for the state, seld andtrust for the employee. Right right,

then you pass it on data dayrs that amount that you say, I'm
going to pay you fifty bucks,but you're only getting thirty six because I'm
going to hold this for your taxes. Now, if you in the past,
we've had Don Iiley, this guy, it was the famous case.
I know you guys took a lotof their cases and helped people. But
what happened was Don Ailey was famous. He made this famous. What he

did was he would get nine fortyone reports from his clients. So he's
an accountant, right, So hisclients ABC and X y Z would report
the accurate number of employees, theaccurate number of withholdings, and they would
forward to check to his trust accountright, and they expected or they'd give

him access to their own accounts andstay with from market. He was in
charge of making the nine forty onesfor his clients. That's not unusual to
have an accountant do a nine fortyone for your business. Sure, payroll
companies do it all the time.So he, in essence was a payroll
company for the kind of you.So he would do all the legal stuff.

But so what he would do istake company ABC or XYZ who reported
all of the accurate stuff and reportthat they had no employees or few employees,
sure, and pay into the IRSon the nine forty one what appeared
to be the correct amount for whathe reported correct, So there was levels

of fraud there. So it wasreally so there was no way for the
irs to know that there was anyfraud going on because the CPA is filing
saying, here's how many employees,here's what we owe, here's the check.
Right then the employer would not knowbecause they're never going to get a

notice of any deficiency. Sure so, and the employer as seeing the money
come out of their bank account.Okay now, and I should get it
on a wide shot here since you'retalking. So here's what I want to
know, Steve. How does thatcome crumbling down? I forgot how we

crumbling down? Somewhere along the line, Company ABC found out they had inaccurate
nine forty one if I remember correctly, it was an audit of Company ABC.
And so when they turn over theirp and L and their books,
they say, we have X amountof employees we've been deducted. And then
they look at the nine forty onesay, well, that's not what you've
been paying exactly, and they said, oh, yes, it is here

are the checks we wrote two ouraccountant and they trace that back and then
they go to the accountant and say, wait a minute, mister accountant company
ABC wrote you a check for onehundred grand. You wrote the IRS a
check for fifteen right, and youkept eighty five exactly. He's in jail.
I don't know if he's actually stillin jail. He was in jail.
They don't keep people in jail along time for this kind of crime.

And then we figured he had abouttwenty million dollars that he pilford from
people. Now I don't know whathappens in these cases. Does he have
to pay that back eventually? Becausehe'll never pay it back? Yeah,
I mean there's did he stash it? Do they look where he put it?
I mean, I'm always fascinated byfraud because I think in some cases

fraud can pay because you go tojail. Mark and I used to bat
this around. Would you go tojail for X amount of dollars for so
many millions of dollars a year?So when you come out you have a
stash somewhere. I don't know,I mean, I don't even know.
Do they make reimbursement part of it. So disgorgement is a part of the
judgment. I would assume I haven'tlooked at the touch against him, right,

But you know, at the endof the day, the irises can
say, you have a fine enoughX amount of dollars and you're gonna pay
it for you know, the restof the results life. But if he
has got Allion Camans or nick aArraguar or whatever they're doing these things,
and if he was fairly intelligent aboutit, which sounds like he was,
I think that it's it's not avictims victims crime. He's you know,
he's killed all the businesses. Andthen maybe it was responsible for what when

pay their accountant everything they owed,then the I R S up makes it
makes a claim so that employee.Does that employee have to pay again if
wages, I don't think they do. If it was withheld, doesn't the

hold an innocent employee because they infact, what did happen to the companies

that came to you for help?Did they have to pay again? Yeah?
They were obligated Oh, because they'rethe ones. The onus is on
the taxpayer, not so the fiduciarywho screwed them. That was because they
found the fiduciary, so they're responsible. Yeah, But had they not found
it, the company still on thehook for those taxes because those taxes were
due. Regardless of whether that's CPApaid or not, it's sexually for the

employee, they weren't due. Sodoes the employer have to pay their match
only or does the employer have topay everything? So the employer is on
the hook for the corporate their ownportion and then the matching if the company
fails in a lot of cases,but what if they what if they passed
on the client's money which was stolen, Do they have to make up that
client's money that was paid to thegovernment or not. When you say the

i'm with if a thousand dollars iswithheld from me and the company matches that,
I don't know if it's fifty tofifty portion, Well, so the
company matches, and now we're busted. You're saying the employees held harmless.
They don't have to pay another thousand. But do I have to pay their

portion because I squandered it or Isent it to a bad accountant. If
the company fails, the portion thatis the owners are going to be liable
for is the employee's portion. Oh, the company will die and there's no

or whatever, what do you do? Does the IRS keep track of where

step was to see if they sentit. So that's when you call the

sent if they're if they proved onthe transcript, or they have record that

the IRIS sent the check, soit'll say on the transcript fifteen hundred dollars
refund or whatever it is. Andyou didn't receive it, that's when you

he's not childcare. But what ifthey actually call it it's a child tax

twelve. Now, what is asmall business optimism Index. What is it?
What it is is a perception ofwhat small businesses think of the economy
and their outlook. It's not necessarilysomething that has happened. It's not a

lagging indicator. It's more of aleading indicator, right, because this is
if they believe that there must bea reason, or you could consider it
a lagging indicator, meaning what hasbeen going on leads them to believe this.
However, it doesn't matter. Butit is the research foundation for the

Small Business Economic Trends Council. Here'sthe thing. There's an organization that put
this together called n FIB, andNFIB is what they call themselves is the
Voice of Small Businessiness. And theyput together this Optimism Index, and it's
usually for small business. So here'swhat they measure. Your plans to increase

employment. That's an indicator, that'sa leading indicator. And they say eleven
percent, meaning eleven percent will that'sa small number, all right? Then
they give that a score. Plansto make capital outlays only twenty percent,

really bad right for small business.Listen to this one. Plans to increase
inventories negative seven percent? I meanthat now, listen to this. Do
you expect the economy to improve negativethirty six percent. Now, let me

tell you something. Even though theycall these percent indexes, when does perception
become reality. Well, let's putit this way. If they don't believe
the economy is going to be good, they're going to hedge. They're going
to protect themselves, right, They'renot going to spend as much. They're
not going to make big capital investments, and they're not going to hire.

They're going to what I call bein a defensive position. In a defensive
position, then you have them spendingless, hiring less, and you have
it leading into the market. Ifseveral small businesses do that, do they
expect sales to go up? No? Eighteen percent. Here's what they figure,
(02:01:44):
a negative eighteen percent in sales,that's the average on this survey.
They also believe current job openings rightnow are way less than what the administration
is reporting. They say only thirtyseven percent of small businesses are even looking
to hire. Negative eight percent.Is on whether whether or not you expect

good credit conditions. Is it agood time to expand four percent of the
businesses say no, I mean yes, yes, only four percent. Ninety
six percent say not. A goodtime to expand next earnings trends. What
are their actual earning trends. They'redownward negative. Twenty nine percent believe that's

that's how bad they believe the perceptionis for earning trends. So that's a
big problem. And that and perceptiona lot of times can dictate how businesses
operate. Well, it dictates howpeople spend money. I mean, it's
it really is a real thing.When people believe. For example, a
guy who feels he may be laidoff. He's not, but he feels

he might be, he might putoff a car purchase. If he puts
off a car purchase, that's goingto affect the manufacturers, dealers, salespeople,
AH support staff, sure gasoline,and anecdotally, I mean, I
have these conversations a lot because itis tax season, and I have a
lot of business owners calling me andsaying, well, I owe all these
taxes. You know, well,how can I pay all these the economy

is going to be so bad.But then you look at their p and
L and their taxes. There's areason why they owe so much taxes because
they had a banner year. Andthe perception and reality are two different things.
It's it's something that these business ownershave to get their head wrapped around.
It's like, yes, I knowthat there's pessimism in the economy right
now, but if you actually lookat your books, you're doing really well.
If you look at real a coincidentalcurrent indicators, there's not many bad

ones. Right. No, they'redoing very well now. But that doesn't
mean that in three months. Theyknow you do that very well. But
